Dar\u00fcber hinaus gelten folgende Definitionen:<\/p>\n<p style=\"font-weight: 400;\"><strong>AI Avatar<\/strong><\/p>\n<p style=\"font-weight: 400;\">Ein vollst\u00e4ndig k\u00fcnstlich erzeugter digitaler Charakter ohne Bezug zu einer identifizierbaren nat\u00fcrlichen Person.<\/p>\n<p style=\"font-weight: 400;\"><strong>AI Twin<\/strong><\/p>\n<p style=\"font-weight: 400;\">Die digitale KI-Repr\u00e4sentation einer realen Person (Talent), deren Nutzung ausschlie\u00dflich auf Grundlage entsprechender vertraglicher Vereinbarungen, erforderlicher Zustimmungen sowie projektbezogener Freigaben erfolgt.<\/p>\n<p style=\"font-weight: 400;\"><strong>Talent<\/strong><\/p>\n<p style=\"font-weight: 400;\">Eine nat\u00fcrliche Person, insbesondere Model, Creator, Influencer, Schauspieler, Moderator oder Musiker, deren personenbezogene Daten oder Pers\u00f6nlichkeitsrechte im Rahmen der Talentvermittlung, Projektabwicklung oder der Erstellung und Nutzung eines AI Twins verarbeitet werden.<\/p>\n<p style=\"font-weight: 400;\"><strong>Studio-Kunde<\/strong><\/p>\n<p style=\"font-weight: 400;\">Ein Kunde, der die Plattform SidelaneAI \u00fcber ein standardisiertes Online-Nutzerkonto nutzt und keinen individuellen Enterprise- oder Rahmenvertrag mit der mf-mgmt GmbH abgeschlossen hat.<\/p>\n<p style=\"font-weight: 400;\"><strong>Enterprise-Kunde<\/strong><\/p>\n<p style=\"font-weight: 400;\">Ein Kunde, der die Plattform SidelaneAI auf Grundlage eines individuell abgeschlossenen Rahmenvertrags, Enterprise-Vertrags oder einer sonstigen Individualvereinbarung nutzt und pers\u00f6nlich durch die mf-mgmt GmbH betreut wird.<\/p>\n<p style=\"font-weight: 400;\"><strong>Workspace<\/strong><\/p>\n<p style=\"font-weight: 400;\">Der einem Kunden zugeordnete Bereich innerhalb der Plattform SidelaneAI zur Verwaltung von Projekten, Benutzern, AI Twins, AI Avataren, Assets sowie weiterer Inhalte.<\/p>\n<p style=\"font-weight: 400;\"><strong>Projektvereinbarung<\/strong><\/p>\n<p style=\"font-weight: 400;\">Eine projektbezogene Vereinbarung zwischen Kunde, Talent bzw. Modelagentur und SidelaneAI, in der insbesondere Nutzungsumfang, Laufzeit, Territorium, Medien, Buy-out und sonstige projektbezogene Rechte geregelt werden.<\/p>\n<p style=\"font-weight: 400;\"><strong>Assets<\/strong><\/p>\n<p style=\"font-weight: 400;\">S\u00e4mtliche mittels SidelaneAI generierten oder innerhalb der Plattform verwalteten digitalen Inhalte, insbesondere Bilder, Videos oder sonstige Mediendateien.<\/p>\n<p style=\"font-weight: 400;\"><strong>Credits<\/strong><\/p>\n<p style=\"font-weight: 400;\">Digitale Nutzungseinheiten, \u00fcber die bestimmte Leistungen innerhalb der Plattform SidelaneAI abgerechnet werden.<\/p>\n<ol start=\"4\">\n<li style=\"font-weight: 400;\"><strong> Rechtsgrundlagen der Verarbeitung<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">Wir verarbeiten personenbezogene Daten ausschlie\u00dflich im Einklang mit den geltenden datenschutzrechtlichen Vorschriften, insbesondere der Datenschutz-Grundverordnung (DSGVO). Je nach Art der Verarbeitung st\u00fctzen wir uns insbesondere auf folgende Rechtsgrundlagen:<\/p>\n<ul style=\"font-weight: 400;\">\n<li>Art. 6 Abs. 1 lit. a DSGVO (Einwilligung)<\/li>\n<li>Art. 6 Abs. 1 lit. b DSGVO (Vertrag oder vorvertragliche Ma\u00dfnahmen)<\/li>\n<li>Art. 6 Abs. 1 lit. c DSGVO (Erf\u00fcllung gesetzlicher Verpflichtungen)<\/li>\n<li>Art. 6 Abs. 1 lit. f DSGVO (berechtigtes Interesse)<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">Soweit im Zusammenhang mit der Talentvermittlung und Projektabwicklung oder der Erstellung und Nutzung von AI Twins besondere Kategorien personenbezogener Daten verarbeitet werden, erfolgt dies ausschlie\u00dflich unter Beachtung der hierf\u00fcr geltenden gesetzlichen Voraussetzungen, insbesondere Art. 9 DSGVO.<\/p>\n<ol start=\"5\">\n<li style=\"font-weight: 400;\"><strong> Datensicherheit<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">Der Schutz personenbezogener Daten besitzt f\u00fcr uns h\u00f6chste Priorit\u00e4t. Wir treffen angemessene technische und organisatorische Ma\u00dfnahmen (TOM), um personenbezogene Daten vor Verlust, Manipulation, unbefugtem Zugriff oder sonstigen unzul\u00e4ssigen Verarbeitungen zu sch\u00fctzen. Hierzu geh\u00f6ren insbesondere:<\/p>\n<ul style=\"font-weight: 400;\">\n<li>SSL-\/TLS-Verschl\u00fcsselung,<\/li>\n<li>rollenbasierte Berechtigungskonzepte,<\/li>\n<li>sichere Authentifizierungsverfahren,<\/li>\n<li>Zugriffsbeschr\u00e4nkungen,<\/li>\n<li>regelm\u00e4\u00dfige Sicherheitsupdates,<\/li>\n<li>Backup- und Wiederherstellungskonzepte,<\/li>\n<li>Protokollierung sicherheitsrelevanter Vorg\u00e4nge,<\/li>\n<li>Schutzma\u00dfnahmen gegen unbefugte Zugriffe auf unsere Systeme.<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">Unsere Sicherheitsma\u00dfnahmen werden entsprechend der technologischen Entwicklung fortlaufend \u00fcberpr\u00fcft und angepasst.<\/p>\n<ol start=\"6\">\n<li style=\"font-weight: 400;\"><strong> Speicherdauer<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">Wir speichern personenbezogene Daten nur so lange, wie dies zur Erf\u00fcllung der jeweiligen Verarbeitungszwecke erforderlich ist oder gesetzliche Aufbewahrungspflichten bestehen. B. Sofern kein Angemessenheitsbeschluss der Europ\u00e4ischen Kommission vorliegt, erfolgt die Daten\u00fcbermittlung ausschlie\u00dflich auf Grundlage geeigneter Garantien, insbesondere der von der Europ\u00e4ischen Kommission genehmigten Standardvertragsklauseln oder anderer gesetzlich anerkannter Schutzmechanismen.<\/p>\n<ol start=\"9\">\n<li style=\"font-weight: 400;\"><strong> Besuch unserer Websites<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">Beim Besuch unserer Websites werden durch Ihren Browser automatisch Informationen an unsere Server \u00fcbermittelt. Ein AI Twin ist die digitale KI-Repr\u00e4sentation einer realen Person (Talent), die auf Grundlage entsprechender vertraglicher Vereinbarungen, erforderlicher Einwilligungen und projektbezogener Freigaben erstellt und genutzt wird. Die Nutzung erfolgt ausschlie\u00dflich innerhalb des in der jeweiligen Projektvereinbarung definierten Umfangs. Hierzu geh\u00f6ren insbesondere:<\/p>\n<ul style=\"font-weight: 400;\">\n<li>Kunde,<\/li>\n<li>Talent,<\/li>\n<li>Modelagentur,<\/li>\n<li>Nutzungsumfang,<\/li>\n<li>Medien,<\/li>\n<li>Territorium,<\/li>\n<li>Laufzeit,<\/li>\n<li>Buy-out,<\/li>\n<li>sonstige Nutzungsrechte.<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">Eine Nutzung au\u00dferhalb der jeweils vereinbarten Projektparameter ist unzul\u00e4ssig.<\/p>\n<p style=\"font-weight: 400;\"><strong>35.4 Zugriff auf AI Twins<\/strong><\/p>\n<p style=\"font-weight: 400;\">AI Twins werden ausschlie\u00dflich f\u00fcr die Dauer eines freigegebenen Projekts innerhalb der Plattform bereitgestellt. Ein dauerhafter Zugriff auf den AI Twin selbst wird dem Kunden nicht einger\u00e4umt. Kunden erhalten ausschlie\u00dflich Zugriff auf:<\/p>\n<ul style=\"font-weight: 400;\">\n<li>die im jeweiligen Projekt generierten Inhalte,<\/li>\n<li>die ihnen vertraglich einger\u00e4umten Nutzungsrechte,<\/li>\n<li>projektbezogene Informationen.<\/li>\n<\/ul>\n<p style=\"font-weight: 400;\">Die zugrunde liegenden Trainingsdaten, Referenzdateien und technischen Modelle verbleiben ausschlie\u00dflich innerhalb der gesch\u00fctzten Infrastruktur von SidelaneAI.<\/p>\n<p style=\"font-weight: 400;\"><strong>35.5 Keine Nutzung zum allgemeinen KI-Training<\/strong><\/p>\n<p style=\"font-weight: 400;\">Die im Zusammenhang mit AI Twins verarbeiteten personenbezogenen Daten werden von der mf-mgmt GmbH\u00a0nicht zur Entwicklung allgemeiner KI-Modelle oder zum Training \u00f6ffentlich verf\u00fcgbarer KI-Systeme verwendet, sofern dies nicht ausdr\u00fccklich und gesondert mit dem jeweiligen Talent vereinbart wurde. Die Verarbeitung erfolgt ausschlie\u00dflich zur Erstellung, Bereitstellung und Nutzung des jeweiligen AI Twins im Rahmen der vertraglich vereinbarten Projekte.<\/p>\n<p style=\"font-weight: 400;\"><strong>35.6 Schutz personenbezogener Daten<\/strong><\/p>\n<p style=\"font-weight: 400;\">Zum Schutz der AI Twins sowie der zugrunde liegenden personenbezogenen Daten setzt SidelaneAI angemessene technische und organisatorische Ma\u00dfnahmen ein. Hierzu geh\u00f6ren insbesondere:<\/p>\n<ul style=\"font-weight: 400;\">\n<li>rollenbasierte Berechtigungskonzepte,<\/li>\n<li>Zugriffsbeschr\u00e4nkungen,<\/li>\n<li>verschl\u00fcsselte Daten\u00fcbertragung,<\/li>\n<li>sichere Authentifizierungsverfahren,<\/li>\n<li>Protokollierung sicherheitsrelevanter Vorg\u00e4nge,<\/li>\n<li>regelm\u00e4\u00dfige Sicherheitsma\u00dfnahmen.<\/li>\n<\/ul>\n<ol start=\"36\">\n<li style=\"font-weight: 400;\"><strong> Projektfreigaben<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">Die Nutzung eines AI Twins setzt grunds\u00e4tzlich die jeweils erforderlichen projektbezogenen Freigaben voraus. Die Erstellung sowie Nutzung eines AI Twins erfolgt ausschlie\u00dflich auf Grundlage der jeweils erforderlichen vertraglichen Vereinbarungen und Einwilligungen. Ohne die erforderlichen Zustimmungen erfolgt keine Erstellung oder projektbezogene Nutzung eines AI Twins. Endet die Zusammenarbeit zwischen dem Talent und der mf-mgmt GmbH oder SidelaneAI, werden personenbezogene Daten sowie Trainingsdaten entsprechend den gesetzlichen Vorschriften und den jeweiligen vertraglichen Vereinbarungen gel\u00f6scht, soweit keine gesetzlichen Aufbewahrungspflichten entgegenstehen.<\/p>\n<ol start=\"38\">\n<li style=\"font-weight: 400;\"><strong> Rechte der Kunden<\/strong><\/li>\n<\/ol>\n<p style=\"font-weight: 400;\">Die Beendigung eines Kundenkontos oder eines Nutzungsvertrags ber\u00fchrt bereits wirksam einger\u00e4umte Nutzungsrechte aus abgeschlossenen Projekten grunds\u00e4tzlich nicht. Soweit einem Kunden im Rahmen einer Projektvereinbarung Nutzungsrechte einger\u00e4umt wurden, bleiben diese bis zum Ablauf der jeweils vereinbarten Nutzungsdauer bestehen. SidelaneAI dient der Erstellung und Nutzung digitaler Inhalte auf Grundlage der jeweils vertraglich vereinbarten Nutzungsrechte. Die Plattform ersetzt keine gesetzlich erforderlichen Einwilligungen oder vertraglichen Vereinbarungen. Retention of Talent Data<\/b><\/p>\n<p>Personal data of our talents is generally stored only for as long as is necessary to carry out the collaboration or to comply with legal obligations. AI Avatars<\/strong><\/p>\n<p>SidelaneAI enables the creation and use of fully artificially generated digital characters (\u201cAI Avatars\u201d). AI Avatars are generally not based on an identifiable natural person and do not contain any personal data of real persons, unless this is expressly agreed upon in a contract or is technically necessary. AI Twins<\/strong><\/p>\n<p>SidelaneAI enables the project-based use of so-called AI Twins. An AI Twin is the digital AI representation of a real person (talent), which is created and used on the basis of corresponding contractual agreements, required consents, and project-specific approvals. Use is limited strictly to the scope defined in the respective project agreement. The Customer is not granted permanent access to the AI Twin itself. Customers are granted access exclusively to:<\/p>\n<ul>\n<li>the content generated in the respective project,<\/li>\n<li>the rights of use granted to them under the contract,<\/li>\n<li>project-related information.<\/li>\n<\/ul>\n<p>The underlying training data, reference files, and technical models remain exclusively within SidelaneAI\u2019s protected infrastructure.<\/p>\n<p><strong>35.5 No Use for General AI Training<\/strong><\/p>\n<p>The personal data processed in connection with AI Twins is not used by mf-mgmt GmbH for the development of general AI models or for training publicly available AI systems, unless this has been expressly and separately agreed upon with the respective talent. Processing is carried out exclusively for the creation, provision, and use of the respective AI Twin within the scope of the contractually agreed-upon projects.<\/p>\n<p><strong>35.6 Protection of Personal Data<\/strong><\/p>\n<p>To protect the AI Twins and the underlying personal data, SidelaneAI implements appropriate technical and organizational measures. These include, in particular:<\/p>\n<ul>\n<li>role-based access control,<\/li>\n<li>access restrictions,<\/li>\n<li>encrypted data transmission,<\/li>\n<li>secure authentication procedures,<\/li>\n<li>logging of security-related events,<\/li>\n<li>regular security measures.<\/li>\n<\/ul>\n<p><strong>36. Project Approvals<\/strong><\/p>\n<p>The use of an AI Twin generally requires the necessary project-related approvals. Rights of Talents<\/strong><\/p>\n<p>Talents retain all personal rights to which they are entitled. The creation and use of an AI Twin are based exclusively on the necessary contractual agreements and consents. No AI Twin will be created or used for project-related purposes without the required consents. If the collaboration between the talent and mf-mgmt GmbH or SidelaneAI ends, personal data and training data will be deleted in accordance with legal requirements and the respective contractual agreements, provided that no statutory retention obligations preclude such deletion.<\/p>\n<p><strong>38. Customer Rights<\/strong><\/p>\n<p>The termination of a customer account or a user agreement generally does not affect usage rights already effectively granted under completed projects.
